Client Referral Program

Terms & Conditions

The terms below outline the eligibility, discount structure, and limitations of the program. By participating in this program, you agree to the terms and conditions outlined below.

1. Eligibility

Participants: This program is open to existing Delphigh clients currently located in the United States with an active Master Service Agreement (MSA).

Good Standing: To receive and maintain referral discounts, your account must be in good standing (no overdue invoices).

2. Qualified Referrals

A "Qualified Referral" occurs when a new client introduced by you:

Signs a new Master Service Agreement (MSA) with Delphigh; and

Completes their initial payment for the first month of services.

Note: Referrals of existing customers, former customers who have cancelled within the last 12 months, or different divisions of your own company do not qualify.

3. Discount Structure & Stacking

The Benefit: You will receive a 10% discount on your monthly Professional Service Fees for a period of 12 consecutive months.

Stacking: You may stack discounts for multiple concurrent referrals.

Example: If you refer two clients who both sign and pay in January, your February invoice will reflect a 20% discount.

Limits:

Maximum Discount: The total discount may not exceed 50% of your Professional Service Fees in any single billing period (capped at 5 active referrals).

Combinability: Referral discounts may be combined with one another, but cannot be combined with other promotional offers, seasonal discounts, or negotiated contract reductions unless explicitly stated in writing.

4. Application of Credits

Start Date: The discount will be applied to the invoice generated for the month following the referred client's initial payment.

Example: Referred client signs in January and pays their first invoice in February. Your discount will appear on your March invoice.

Rolling Expiration: Each specific referral credit expires 12 months after it is first applied. If you have stacked discounts, the total percentage will decrease as individual referral credits expire.

5. Exclusions

Discounts apply strictly to Professional Service Fees (labor, retainers, and consulting hours). The discount does not apply to:

Pass-through expenses (e.g., travel, lodging, meals).

Physically deliverable items (hardware, equipment).

Third-party software licensing or subscription fees.

Taxes or regulatory fees.

6. General Terms

Non-Transferable: Referral credits are non-transferable and may not be sold, exchanged, or assigned to another entity.

Cash Value: Credits have no cash value and cannot be redeemed for a refund or cash payout.

Termination: If either party terminates the MSA, any remaining unapplied referral credits are immediately forfeited.

Modifications: Delphigh reserves the right to modify, suspend, or cancel this promotion at any time at our sole discretion. Existing credits already active on an account will be honored for the remainder of their 12-month term.

7. Agreement to Terms

By submitting a referral to Delphigh or accepting a discount applied under this program, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
